Terms and Conditions for Event Organisers

Effective Date: September 1, 2026

Introduction and Acceptance of terms

This Terms and Conditions agreement (“Terms”) is between H&I Adventures Ltd, trading as Mountain Bike United (“Mountain Bike United”, “we”, “us”, “our”), located at No1 Bunchrew, Bunchrew, Inverness, IV3 8TA, Scotland, and you, the Event Organiser (“Organiser”, “you”, “your”). These Terms govern your use of the Mountain Bike United ticketing platform and associated services for selling event tickets, upgrades, add-ons, and products to individual customers (“Services”). By creating an account with Mountain Bike United, you are agreeing to be bound by these Terms and by the Mountain Bike United Privacy Policy. You must not use or access your account or the platform in violation of these Terms. If you are an individual creating an account on behalf of an employer or company, you acknowledge and represent that you have the legal authority to represent that legal entity and to grant Mountain Bike United the permissions outlined in these Terms. Mountain Bike United may amend these Terms at any time and will post variations on the website and email the varied terms to you. By continuing to use the platform after terms are varied, you agree to be bound by the variation. These Terms shall be governed by the laws of England and Wales, and you consent to the exclusive jurisdiction of the courts in England and Wales to determine any matter or dispute arising under these Terms.

Services Provided by Mountain Bike United

Mountain Bike United provides the following services to Event Organisers through our web-based platform.

• We build and host event pages on your behalf from event information supplied by you once registered. You can advertise and promote your event or organisation via a unique URL provided by Mountain Bike United
• We allow you to determine ticket pricing, including standard tickets, upgrades, add-ons, and associated physical or digital products
• You gain access to our secure payment gateway through which individual customers (“Consumers”) can purchase tickets, upgrades, add-ons, and products directly from your event page
• We process all payments from Consumers on your behalf through integrated Payment Processors, eliminating the need for you to set up independent payment processes
• We deliver all tickets to Consumers on your behalf through various delivery options available on the platform, including email and mobile app ticketing
• We maintain accurate records of the number of tickets and products purchased for your event, which we provide to you through your account dashboard, enabling you to track sales progress in real-time
• We provide event management tools including attendee data export functionality, check-in applications, and sales reporting
• We may offer customised event pages and fulfilment processes for additional fees, subject to separate agreement

Nature of the Contractual Relationship

Mountain Bike United provides the platform and services to you, the Event Organiser, and has no contractual relationship in respect of the event itself with consumers. When you sell tickets, upgrades, add-ons, or other products to Consumers through the platform, the contractual relationship for the event itself is between you and the Consumer.

Mountain Bike United will provide terms of sale that the Consumers will agree to at time of sale, and Mountain Bike United will direct any Consumer queries regarding your events or products to you. You agree to handle all communication with your Consumers and not to refer them to Mountain Bike United for customer support relating to event-specific matters. You agree to respond to any queries you receive from Consumers within five days.

You accept all liability in relation to the contractual relationship between you and the Consumer, including matters relating to event quality, event changes, event cancellations, injuries, losses, or any other matters arising from the event itself. You agree to notify your Consumers immediately, and update your Mountain Bike United event page, if your event is cancelled, postponed, or has a material change from the original information given when first put on sale. Mountain Bike United reserves the right to suspend or terminate your access to the platform if you fail to adhere to these contractual relationship requirements with your Consumers.

You indemnify and will keep indemnified Mountain Bike United for all and any claims, losses, damages, liabilities costs or expenses incurred as a result of any Consumer bringing a claim against Mountain Bike United for any reason relating directly or indirectly to any event you run or fail to run which you have advertised and sold tickets for via the Mountain Bike United app.

Account Creation and Management

To access the Services, you must create an account and take out a subscription package on the Mountain Bike United platform. Where you are an individual, you must be at least 18 years of age to create an account. See www.mtbutd.com for subscription costs. The platform is for the sale of tickets to events being conducted worldwide.

By creating an account, you appoint Mountain Bike United to act as your disclosed agent in respect of ticket sales for your event. You remain the principal and the supplier of the ticket to the Consumer for all purposes, including VAT and any other tax. You specifically authorise Mountain Bike United to advertise and promote your event via the event page and the Mountain Bike United website as agreed; to sell tickets and products to the public for any event promoted on the event page; to facilitate the collection of payment from Consumers through the Payment Processor; to deduct and retain the Platform Fee and any VAT chargeable on that fee; and to process and deliver purchased tickets to Consumers including by email, or otherwise making tickets available to Consumers. Mountain Bike United does not determine, calculate, collect or remit any VAT or other tax due on the ticket price itself.

To create your account, you will supply a password and two-factor authentication. It is your sole responsibility to maintain the confidentiality of the password and the activities conducted through your account. Mountain Bike United is not liable for any loss or damage resulting from your failure to maintain a secure account or for any unauthorised modification of the event page.

It is your responsibility to provide and maintain accurate account information, including username, contact details, and banking details. You agree to notify Mountain Bike United immediately of any change to this information. We are not responsible for deposits into a bank account where incorrect or outdated information has been provided.

You can add credits or make changes to your account in accordance with the functionality available in your account dashboard. You may close your account at any point in time, with 72 hours notice required for account closure, provided you have no events scheduled to take place, in which case you may only close your account 30 days after the date of such event.

We will not refund any fees already paid for the Services or for any credits you may have at the time of closure.

All personal information you provide will be held in accordance with the Mountain Bike United Privacy Policy.

Payment Terms, Fees, and Financial Procedures

Mountain Bike United charges fees for using our Services on a usage basis. A chargeable use or activity includes the sale of a ticket, the reservation of a seat, the sale of an upgrade, add-on, or associated product, or other chargeable activity made available through the platform (“Activity”). The fee payable to Mountain Bike United for each Activity is referred to in these Terms as the “Platform Fee”. The Platform Fee is a single, all-inclusive charge made by Mountain Bike United for its own services, covering both our commission and the cost of payment processing. It is calculated on the ticket price and deducted from the amount settled to your connected Stripe account at the point of sale, as set out in the table below and on the Mountain Bike United website.

Payment Collection and Accounting

Payments from Consumers are processed through Stripe Connect using the destination charges model. The charge is created by Mountain Bike United as your disclosed agent, and the amount attributable to your ticket sales is transferred to your connected Stripe account at the point of sale, net of the Platform Fee and any VAT chargeable. The Payment Processor’s own charges are assessed against Mountain Bike United’s account and are not deducted from your share.

You own the funds settled to your connected Stripe account and Mountain Bike United owns the Platform Fee. Neither party has any claim on the other party’s share except as expressly set out in these Terms.

All customer payments are processed through Stripe Connect account or such other third-party payment processing provider as Mountain Bike United may use from time to time.

Customer payments are received and held within the Stripe Connect platform and related payment processing infrastructure.

Mountain Bike United does not receive, hold, safeguard or control Event Organiser funds. Any funds collected from customers are held and processed by Stripe in accordance with Stripe’s terms and procedures.

You shall have access to a live dashboard within the Agent’s platform which displays transaction and financial information relating to its events.

You may download transaction reports and CSV exports directly from the dashboard at any time.

Save as set out in these Terms, Mountain Bike United shall have no obligation to provide separate sales reports, payment statements, reconciliations or transaction breakdowns unless otherwise agreed in writing.

Your dashboard will show, for each transaction, the number of tickets and products sold, the gross amount paid by the Consumer, the Platform Fee, any VAT charged on that fee, and the net amount settled to your connected Stripe account. Payouts from your connected Stripe account to your nominated bank account are made by Stripe in accordance with the payout schedule applying to that account and are not controlled by Mountain Bike United.

You must raise any objections to accounting statements within 21 business days after the statement is issued. If no objection is raised within that period, you are deemed to have accepted the accounting statement.

Chargebacks and VAT Responsibilities

You are aware that Consumers may initiate credit card chargebacks. Where a chargeback, payment dispute or refund arises in respect of your event, Mountain Bike United may reverse the corresponding transfer to your connected Stripe account, debit your connected account balance, or withhold an equivalent amount from future settlements, in each case together with any associated Payment Processor fees. Mountain Bike United is not responsible or liable for chargebacks initiated by Consumers, and you indemnify Mountain Bike United in respect of them.

Mountain Bike United may deduct any agreed platform fees, service charges, commissions or other amounts due to it before funds are distributed.

Mountain Bike United may also hold a minimum account balance, and deduct or withhold amounts reasonably required in connection with customer refunds, payment disputes, chargebacks, fraud investigations or compliance obligations, including the right to put a hold on the chargeback or refund amount on your connect account balance to recoup any fees that Mountain Bike United have incurred.

Ticket prices set by you are stated inclusive of any VAT or other tax due on the ticket. The price displayed to the Consumer is the price payable for the ticket. You are solely responsible for determining whether VAT or any other tax is due on your ticket sales, upgrades, add-ons and products, for accounting for it to the relevant tax authority, and for issuing any Tax Invoice required to a purchaser. Mountain Bike United does not calculate, collect, report or remit any tax on the ticket price and provides no tax calculation functionality. All ticket prices are stated in the currency you select for the event.

VAT on the Platform Fee. Whether UK VAT is chargeable on the Platform Fee depends on where you are established and on your VAT status. Where you are established in the United Kingdom, UK VAT at the prevailing rate (currently 20%) is chargeable on the Platform Fee and will be added to it at the point of sale. VAT is charged on the Platform Fee only and is never charged on the ticket price. By way of illustration, on a £100 ticket the Platform Fee is £7.90 and the VAT on that fee is £1.58, so £9.48 in total is deducted from the amount settled to you.

Where you are a business established outside the United Kingdom, the supply of the Services to you is outside the scope of UK VAT and no UK VAT will be added to the Platform Fee. You are responsible for accounting for any tax due in your own jurisdiction.

Where you are not acting in the course of a business, or where you have not provided a valid registration number that Mountain Bike United is able to verify, Mountain Bike United may treat the supply as subject to UK VAT and charge VAT on the Platform Fee accordingly.

You must provide, and keep up to date in your account, the country in which you are established, whether you are acting in the course of a business, and whether you are registered for VAT or an equivalent business tax (and if so, your registration number). Mountain Bike United may verify any registration number you provide and may rely on the information in your account in determining whether VAT is chargeable on the Platform Fee. You are responsible for, and indemnify Mountain Bike United against, any liability, interest or penalty arising from information which is inaccurate or out of date.

Event Cancellations, Variations, and Postponements

If you become aware that event details will need to be varied (including time, date, venue, supporting acts, or other material elements) or the event is to be cancelled, you must immediately update your event on Mountain Bike United platform and communicate the changes on the event group within the platform, ensuring all Consumers are aware of the changes.

If an event is cancelled, varied, or postponed, you agree to offer to Consumers either a comparable ticket at a rescheduled event or a full refund of the ticket price paid by the Consumer. The Platform Fee and any VAT charged on it are not refunded to you.

You must use reasonable endeavours to notify ticket holders of a cancellation, variation, or postponement before the date of the event. Mountain Bike United will enable you to communicate with the ticket holders easily, but it is your responsibility to contact Consumers.

Any Consumer personal information we provide to you is solely for the purpose of updating them on the cancellation, variation, or postponement. You are not authorised to send Consumers unsolicited emails, mail, or spam, or to add them to your mailing list unless they have opted in to receive further correspondence from you during the ticketing process.

Once you have notified customers of a cancellation, it is your responsibility to refund Consumers the full ticket price onto the same card used for purchase. Refunds are debited from your connected Stripe account balance. Where that balance is insufficient, Mountain Bike United may reverse transfers, withhold amounts from future settlements, or require you to fund the shortfall. You may also pay money into your connected account via debit card to correct a negative balance and bring it back into a positive balance.

Mountain Bike United may charge you an event cancellation fee and refund processing fees for providing assistance with the refund process.

Payment of the Platform Fee by you to Mountain Bike United is for the service of facilitating promotion and the payment process, and is not contingent upon the event proceeding.

You agree to fully indemnify and hold Mountain Bike United harmless against any expenses, costs, loss (including consequential loss), or damage that we may suffer or incur as a result of or in connection with any cancelled, varied, or postponed event and consequential refunds to Consumers, including any potential shortfall in refund amounts by reason of your payment to us of the Platform Fee.

All ticket sales are final unless you state otherwise on the event page. You are only expected to provide a refund or exchange in accordance with UK consumer protection law and industry codes of practice.

Event Content and Organiser Responsibilities

Insurance Requirements
The Event Organiser shall, at its own expense, obtain and maintain throughout the period during which any event is promoted, sold or administered through the Platform:

1. 1. public liability insurance with a reputable insurer for an amount appropriate to the nature, location and scale of the relevant event
   2. employer’s liability insurance where required by law
   3. any other insurance policies reasonably required for the operation of the event and its activities

The Event Organiser shall provide evidence of such insurance to Mountain Bike United upon request and shall promptly notify Mountain Bike United of any cancellation, lapse, reduction or material alteration in insurance cover.

The Event Organiser acknowledges that Mountain Bike United does not provide insurance cover for any event, participant, volunteer, contractor, employee or spectator.

Risk Assessments
The Event Organiser shall ensure that all necessary risk assessments are completed, documented and reviewed prior to each event and throughout the event where appropriate.

The Event Organiser shall identify, assess and implement appropriate measures to mitigate all reasonably foreseeable risks associated with the event, including risks relating to participants, spectators, volunteers, contractors, equipment, venue conditions, weather, traffic management, medical provision and health and safety matters.

The Event Organiser shall retain copies of all risk assessments and make them available to Mountain Bike United upon reasonable request.

Legal and Safety Compliance

The Event Organiser is solely responsible for ensuring that its events comply with all applicable laws, regulations, codes of practice, permits, licences, health and safety requirements, safeguarding obligations and any requirements imposed by landowners, local authorities or governing bodies.

Mountain Bike United shall have no responsibility for reviewing, approving or monitoring the adequacy of any risk assessment, insurance cover, permit, licence or safety procedure implemented by the Event Organiser.

The Event Organiser acknowledges that Mountain Bike United operates solely as a technology platform and payment facilitation service and is not responsible for the organisation, management or safety of any event.

Indemnity

The Event Organiser shall indemnify and keep indemnified Mountain Bike United, its officers, employees, contractors and affiliates against all claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal costs) arising from or in connection with:

1. any failure by the Event Organiser to maintain appropriate insurance
2. any failure by the Event Organiser to carry out suitable risk assessments
3. any injury, illness, death, loss or damage occurring at or in connection with any event
4. any breach by the Event Organiser of applicable laws, regulations, permits or health and safety obligations; or
5. any claim made by a participant, spectator, volunteer, contractor, landowner or third party relating to the Event Organiser’s event

Suspension Rights

Where Mountain Bike United reasonably believes that the Event Organiser has failed to maintain appropriate insurance, carry out adequate risk assessments or comply with applicable legal or safety requirements, Mountain Bike United may immediately suspend or remove event listings, ticket sales functionality and access to the Platform until satisfactory evidence of compliance has been provided.

It is your responsibility to edit, manage and maintain the event page and to ensure the content complies with the Acceptable Content Standards set out in these Terms. You agree that all content you supply is true, accurate, and complete, and will be maintained and kept up to date . Mountain Bike United is not liable for a failure on your part to accurately and adequately inform Consumers of the terms of their purchase . This includes information regarding the date and time tickets are available for purchase, payment methods available to Consumers, refund timeframes in the event of cancellation or issuing error, whether there is a maximum number of tickets that can be purchased in any one transaction, delivery methods for purchased tickets, and any restrictions on ticket use or attendance.

You must comply with Mountain Bike United Acceptable Use Policy when submitting content to the Mountain Bike United platform. Your content must be accurate and comply with applicable law in any country from which it is posted. You must not use the platform to collect content from Consumers which you do not need, including excessive or unnecessary personal data, particularly special category data being information revealing racial or ethnic origin, political opinions, religious or similar beliefs, trade union membership, physical or mental health conditions, sexual life, sexual orientation, biometric or genetic data, except where strictly necessary for your event (for example, to allocate seating for people with disabilities).

Your content must not be unlawful, harmful, threatening, defamatory, obscene, deceitful, fraudulent, infringing, harassing, or racially or ethnically offensive; facilitate illegal activity; depict sexually explicit images; promote violence; be discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age; infringe any copyright, database right, trademark, or other intellectual property right; or conceal identity or be likely to deceive any person.

As Mountain Bike United is reproducing and promoting your content, you agree not to supply content which promotes or facilitates the sale of any goods or services other than tickets or event registration; contains viruses or files designed to interrupt, destroy, or limit functionality of computer software or hardware; is offensive to any individual or group; could be harmful to minors; harasses or advocates harassment; promotes illegal activities or abusive, threatening, obscene, or defamatory conduct; infringes intellectual property or legal rights of another person; displays pornographic or sexually explicit material; or facilitates gambling or gaming activities.

Intellectual Property Rights and Content Licensing

You retain ownership of information and content uploaded by you to the event page (“Organiser Content”). However, to enable Mountain Bike United to reproduce the event content on the platform and promote events, you grant to Mountain Bike United a non-exclusive, transferable, assignable, sub-licensable, royalty-free, worldwide licence to all Organiser Content.

This licence permits Mountain Bike United to copy, reproduce, modify, create derivative works, publish, or distribute the Organiser Content as necessary to provide the Services. You have options within your account dashboard to manage whether your events are published or kept private. Where an event is not private, you grant Mountain Bike United an unconditional, non-exclusive, royalty-free, worldwide licence to further use your content to promote our Services.

You represent, warrant, and guarantee that you have all rights necessary to grant the licence contained in these Terms; the Organiser Content does not infringe the intellectual property or ownership rights of a third party; you will not make any attempt to disguise the origin or owner of Organiser Content or the provider of tickets promoted through the Organiser Content; and you are responsible for the content or reliability of any websites linked via the Organiser Content.

All content, images, software, and designs on the platform other than Organiser Content (“Mountain Bike United Content”) are owned by Mountain Bike United or used under licence or with consent, including from other Event Organisers. You may make a temporary copy of all or part of the platform on your local computer for the sole purpose of reviewing the event page, and may retain a single permanent copy for your business records. You may not otherwise copy, reproduce, modify, create derivative works, publish, or distribute Mountain Bike United Content without prior written consent or as permitted by applicable copyright laws.

The platform contains trademarks, logos, and trade names of Mountain Bike United (“Mountain Bike United Trademarks”) which may be registered or protected by law. Mountain Bike United Trademarks will be included on all materials we generate on your behalf, including tickets and event pages. You must not otherwise use any trademarks, logos, or trade names used on the platform without our permission. Mountain Bike United reserves all rights to enforce our intellectual property rights to the fullest extent of the law.

Data Protection and GDPR Compliance

Protection of personal information is critically important to Mountain Bike United and all Event Organisers using our platform. For any personal data provided by your Consumers that we handle as part of the Services (“Customer Data”), the provisions of this section apply. Data Protection Law means any data protection legislation from time to time in force in the UK including the Data Protection Act 2018 and the UK GDPR, and all data protection and privacy legislation applicable to either party in the processing of personal data pursuant to the provision of the Services.

You and Mountain Bike United agree to comply with all applicable Data Protection Laws, and acknowledge that you are the data controller and Mountain Bike United is a data processor of personal data in Customer Data. You hereby agree that you will ensure you have all necessary appropriate consents and notices in place to enable lawful transfer of Customer Data to Mountain Bike United for the duration of Services and for Mountain Bike United to carry out processing in accordance with provision of the Services, including informing Consumers and event attendees of how their Customer Data will be handled by you and by Mountain Bike United in connection with your use of the Services.

You have sole responsibility for establishing and maintaining the lawful basis of Mountain Bike United’s processing of Customer Data under these Terms, including where applicable obtaining all necessary consents from Consumers and event attendees. Where you export Customer Data during your use of the Services (for example exporting a list as a spreadsheet, downloading data to a check-in app, or synchronising with third-party services), you are responsible for ensuring that your use of that Customer Data is compliant with Data Protection Laws and the terms in place between you and Consumers.

In respect of Mountain Bike United’s handling of Customer Data, Mountain Bike United agrees that we shall only process Customer Data to provide the Services to you in accordance with the functionality of the platform, these Terms, and lawful instructions reasonably given by you from time to time, or as otherwise required by law, and will not further sell or use Customer Data in any manner. Mountain Bike United will notify you if, in our opinion, an instruction from you infringes any Data Protection Law, though you acknowledge you remain solely responsible for obtaining independent legal advice regarding legality of your instructions.

Mountain Bike United will ensure that personnel engaged in handling Customer Data are informed of the confidential nature of the data and are subject to binding confidentiality obligations. Mountain Bike United will ensure appropriate technical and organisational measures are in place to protect against unauthorised or unlawful processing of Customer Data and against accidental loss, destruction, or damage, appropriate to the harm that might result and the nature of data to be protected.

Mountain Bike United will assist you in ensuring compliance with your obligations under Data Protection Law with respect to security, breach notifications, impact assessments, and consultations with supervisory authorities or regulators. Mountain Bike United will inform you promptly if any Customer Data is lost, destroyed, damaged, corrupted, unusable, or subject to unauthorised or unlawful processing. Mountain Bike United will, to the extent permitted by law, promptly notify you upon receipt of any request from a data subject to access, correct, amend, transfer, or delete their Customer Data, and will provide all reasonable assistance to you in relation to such requests.

On termination of Services, Mountain Bike United will return or destroy (at your direction) Customer Data in our possession unless applicable laws require continued storage. Deletion from live systems may take up to seven days, with a further 30 days for deletion from backups. You consent to Mountain Bike United appointing service providers as sub-processors to process Customer Data in connection with provision of Services, and Mountain Bike United will ensure contracts with sub-processors impose obligations equivalent to those to which Mountain Bike United is subject under this section.

Organiser Liability and Indemnification

You use the platform and your account at your own risk . You accept all liability in relation to your contractual relationship with Consumers, including all matters relating to event quality, safety, injuries, losses, event changes, and event cancellations . You are solely responsible for your event and all matters arising from it. Mountain Bike United provides the ticketing platform only and has no involvement in or liability for the events themselves, event safety, event quality, or any injuries or losses arising from events.

You agree to fully indemnify and hold Mountain Bike United harmless against any expenses, costs, loss (including consequential loss), or damage that Mountain Bike United may suffer or incur as a result of or in connection with your use of, or access to, or conduct in connection with the platform or your account, including any breach by you of these Terms . You agree to fully indemnify and hold Mountain Bike United harmless against any expenses, costs, loss, or damage arising from any dispute with one or more of your Consumers, your relationship with Consumers and event attendees, or any third-party claims made due to or arising out of your content and your use of the Services . You agree to indemnify Mountain Bike United for any expenses, costs, or losses arising from cancelled, varied, or postponed events and consequential refunds to Consumers.

You are solely responsible for determining, collecting, and remitting any taxes that apply to your ticket sales, upgrades, add-ons, and associated products, including but not limited to VAT, sales tax, and any other tax obligations applicable in your jurisdiction. Mountain Bike United does not provide tax calculation, collection or reporting functionality and does not determine the tax treatment of your ticket sales. Mountain Bike United has no involvement in your tax affairs and accepts no liability for any failure on your part to correctly determine, collect, report, or remit taxes in connection with your use of the Services.

Mountain Bike United disclaims any and all liability for the acts, omissions, and conduct of any third-party users, Organisers, advertisers, sponsors, or Payment Processors on the platform or otherwise related to your use of the platform.

Prohibited Activities and Enforcement

If Mountain Bike United becomes aware that you have committed, or intend to commit, prohibited activities outlined in these Terms, we may immediately and without notice terminate your account and stop payment of any amount that may be owing to you. The following are examples of unauthorised use of the platform. You agree that you will not interfere with the proper working of the platform or take any action that imposes an unreasonably large burden on the platform; hack into the platform or use robots, spiders, or other automated devices; use your account for promotion of an event where it is not intended that Mountain Bike United facilitate ticket sales through the platform; use the platform for promotion of an event which is not actually intended to take place; facilitate illegal ticket sales or use the platform to resell tickets where you are not authorised to do so, including by way of unauthorised framing or links to other sites for the purpose of reselling; or use the platform in any manner that causes Mountain Bike United to violate applicable export control, embargo, or economic sanctions laws.

Mountain Bike United reserves the right to monitor all content contained on the platform, including Organiser Content, to ensure compliance with these Terms. If you breach these Terms or Mountain Bike United believes you are or were acting in concert with any person who has done so, Mountain Bike United may without prior notice alter, edit, or remove any or all Organiser Content; delete your account and cancel any tickets or orders that have been made via the account without refund; prohibit you from opening future accounts; block or limit your access to the platform; and take legal action against you.

Mountain Bike United reserves the right to suspend or terminate your access to the Services if you fail to adhere to contractual relationship requirements with your Consumers, are in breach of these Terms, are fraudulent in connection with your account, fail to pay amounts owed to Mountain Bike United in a timely manner, commit any act of bankruptcy, make a scheme or arrangement with creditors, or are placed in receivership, liquidation, administration, or any form of insolvency administration.

Mountain Bike United may at its sole discretion terminate your account with 30 days’ notice.

Disclaimers and Limitation of Liability

Mountain Bike United does not guarantee, represent, or warrant that the platform will be free of defects or bugs, or that your access will be uninterrupted, timely, or error-free. Your access to the platform may be suspended without notice in the case of system failure, maintenance, repair, or any reason beyond Mountain Bike United’s control.

Access to the Services may be suspended temporarily and without notice, and Mountain Bike United will not be liable for any loss or damage that may arise from system unavailability. Mountain Bike United reserves the right to change or discontinue any feature or service on the platform at any time.

The platform and material on the website is provided “as is” and, except for warranties contained in these Terms, to the maximum extent permitted by law, Mountain Bike United excludes all representations, warranties, conditions, and other terms (including without limitation conditions of satisfactory quality and fitness for particular purpose). Mountain Bike United will provide the Services with reasonable care and skill.

To the extent permitted by law, Mountain Bike United excludes all conditions and warranties relating to your use of the platform that are not set out in these Terms. To the extent that Mountain Bike United’s liability for breach of any implied warranty or condition cannot be excluded by law, our liability will be limited, at our option, to replacement of services or re-supply of services or the replacement cost of services.

In relation to any express warranty or condition set out in these Terms in connection with services supplied by Mountain Bike United, our liability to you will be limited to the amount(s) paid by you (if any) in respect of those services.

Nothing in these Terms shall limit or exclude Mountain Bike United’s liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors; fraud or fraudulent misrepresentation; or any other matter in respect of which it would be unlawful to exclude or restrict liability.

Subject to this, Mountain Bike United shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of income, or any indirect or consequential loss arising under or in connection with provision of our Services. Mountain Bike United’s total liability to you for all other losses arising under or in connection with provision of Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to £100.

Mountain Bike United has no responsibility for, and hereby disclaims all liability (including but not limited to any losses, costs, fees, and penalties of whatever nature) arising from the service provided to you by Payment Processors, including the acts and omissions of Payment Processors.

General Provisions

These Terms shall in all respects be governed by the laws of England and Wales. You consent to the exclusive jurisdiction of the courts in England and Wales to determine any matter or dispute which arises under these Terms. If any provision of the Terms is deemed invalid or unenforceable, all or part of that provision will be severed from the Terms and will not affect the enforceability of the remaining provisions.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Any failure to assert any right under these Terms shall not constitute a waiver of such right.

Mountain Bike United may vary these Terms at any time and will post variations on the Mountain Bike United website and email the varied terms to you. By continuing to use the platform after terms are varied, you agree to be bound by the variation.

Transmission of information via the internet is not completely secure. Mountain Bike United cannot guarantee the security of your data transmitted to the platform and any transmission is at your own risk. Once Mountain Bike United has received your information, we will use strict procedures and security features to try to prevent unauthorised access.

These Terms constitute the entire agreement between you and Mountain Bike United concerning your use of the platform and supersede all prior agreements and understandings with respect to the subject matter hereof.
